This document provides an overview of SaveCash's comprehensive legal architecture—a multi-layered framework designed to protect the company, users, and stakeholders through coordinated legal, technical, and organizational safeguards.

  • Operating Subsidiaries: Regional operating companies for different jurisdictions and services, to be established as needed
  • IP Holding Entity: A separate entity structure for holding and managing intellectual property assets

  • Corporate Jurisdiction: SaveCash is committed to selecting a primary corporate jurisdiction that offers strong business law precedent
  • Governing Law: Terms of Service and key agreements will be governed by laws of a jurisdiction selected for business-friendly legal precedent
  • Exclusive Venue: A venue will be selected for dispute resolution based on business operations and convenience
  • International Presence: Entities will be established in key international markets as needed for global operations

4. Legal Protection Mechanisms

Users agree to indemnify and hold harmless SaveCash from claims arising from:

  • User's use of SaveCash services
  • User's violation of Terms of Service
  • User's infringement of third-party rights
  • User's content or data
  • User's breach of any applicable laws or regulations

4.2 Limitation of Liability

  • Liability Cap: Total liability limited to greater of $100 or fees paid in last 6 months
  • Exclusion of Consequential Damages: No liability for indirect, incidental, special, or consequential damages
  • Exclusion of Punitive Damages: No liability for punitive or exemplary damages
  • Statutory Exceptions: Limitations may not apply where prohibited by law

4.3 Disclaimer of Warranties

  • "As Is" Provision: Services provided "as is" and "as available"
  • No Warranties: No express or implied warranties except as required by law
  • No Guarantees: No guarantees of uninterrupted, error-free, or secure operation
  • Third-Party Services: No warranties for third-party services or integrations

4.4 Force Majeure

SaveCash is not liable for failures due to circumstances beyond reasonable control, including natural disasters, war, pandemics, government actions, cyberattacks, and other force majeure events.

5. Intellectual Property Protection

5.1 IP Ownership Structure

  • IP Holding Entity: A separate entity structure will be established for holding all intellectual property assets
  • Global Registration: SaveCash is committed to pursuing trademark registration through appropriate international systems and individual jurisdictions
